Governance Manager

  • New South Wales, NSW, Australia
  • Full time

At Frasers Property Australia, we believe our future depends on how we live together. That’s why everything we do — from the places we build to the people we work with — is about creating a true sense of belonging.

With a legacy of integrity, innovation, and sustainability, our work spans award-winning communities, mixed-use precincts, and commercial assets. Now, we’re looking for a Governance Manager to help us strengthen that foundation.

About the Role

Reporting to the General Counsel & Company Secretary, this is a critical role ensuring Frasers Property Australia and its subsidiaries and joint ventures meet all corporate legal and governance obligations. As a trusted advisor and hands-on expert, you will be responsible for managing our corporate secretariat functions and supporting our high-performing executive team.

You will take ownership of all things governance — from managing ASIC filings and Board resolutions, to supporting our key management committees and promoting best practices across the business. This is a role for someone who thrives in a fast-paced environment, brings an exceptional eye for detail, and enjoys working with purpose-driven people.

Key Responsibilities

  • Support Company Secretary to manage all company secretarial duties across wholly and partly owned subsidiaries, trusts, and joint ventures.
  • Lead corporate management and filings (ASIC) compliance for all entities, entity formations/wind-ups, and statutory records maintenance.
  • Prepare officer indemnity deeds, annual account filings, officer indemnity deeds, and Deeds of Cross Guarantee.
  • Administer Board platforms (Nasdaq BoardVantage) and corporate documentation tools (DocuSign, SAP, GEMS).
  • Support the Company Secretary to coordinate FPA Management and Finance Committee meetings — from scheduling to minutes.
  • Develop and maintain consistent documentation templates, calendar planning, and filing systems.
  • Stay on top of legislation and provide education and advice to the business on governance requirements and best practices.
  • Foster strong partnerships across Legal, Finance, Sustainability, and key internal stakeholders.

What You'll Bring

  • 8+ years of experience as a Company Secretary or Assistant Company Secretary.
  • Degree in Law, Accounting or Economics (plus Governance Institute of Australia certificate).
  • Strong background in corporate governance, entity management, and compliance.
  • Advanced skills in MS Office, and experienced with DocuSign, BoardVantage, GEMS, SAP.
  • Impeccable attention to detail, communication skills, and a proactive mindset.
  • Ability to work autonomously, manage multiple stakeholders, and influence at the executive level.

Why Join Us?

At Frasers Property, we do more than build places — we build careers and communities. We offer:

  • A people-first culture where collaboration and inclusion are celebrated.
  • A flexible, hybrid working environment.
  • Opportunities for professional growth and leadership development.
  • An organisation deeply committed to sustainability and innovation.

If you're looking to make an impact and be part of something bigger, we’d love to hear from you.

Apply now to join a business where governance meets purpose — and where your skills will shape the future of how we live together.
